CCI Approves Tata Steel’s TM International Logistics Stake Buy

The Competition Commission of India approved Tata Steel Limited’s acquisition of an additional 23% equity stake in TM International Logistics Limited on 18 August 2026. The transaction involves Tata Steel buying the entire 23% holding from IQ Martrade Holding Und Management GmbH, which will exit TM International Logistics after the deal.

TM International Logistics and Shareholding Pattern

TM International Logistics Limited was set up as a joint venture for railway cargo transportation, port operations, and freight forwarding for Tata Steel. The original shareholding pattern of TM International Logistics was 51:23:26, involving Tata Steel, IQ Martrade Holding Und Management GmbH, and NYK (Europe) B.V.

Transaction Value and Post-Deal Structure

The 23% stake acquisition is valued at ₹335 crore. After completion of the transaction, Tata Steel will hold a 74% majority stake in TM International Logistics, while NYK (Europe) B.V. will retain its 26% shareholding.

Tata Steel Limited is an integrated steel manufacturer listed on the Bombay Stock Exchange and the National Stock Exchange. The company reported a consolidated revenue of ₹60,794 crore and EBITDA of ₹9,370 crore for the quarter ended 30 June 2026.
