SEBI Proposes Changes to Municipal Bond Framework
The Securities and Exchange Board of India (SEBI) issued a consultation paper on 13 May 2026 proposing amendments to the SEBI (Issue and Listing of Municipal Debt Securities) Regulations, 2015. The proposal covers refinancing of existing debt, disclosure norms, pooled financing through Special Purpose Vehicles, and changes in the face value of privately placed municipal bonds.
Municipal Debt Securities in India
Municipal debt securities are bonds issued by urban local bodies for raising funds from the capital market. Urban local bodies in India include municipal corporations, municipalities, and notified area committees under the constitutional framework for local self-government.
Key Proposed Regulatory Changes
- Municipalities will be permitted to raise bonds for refinancing existing debt.
- Refinancing proposals will require disclosures on lenders, repayment schedules, interest costs, and past debt restructuring.
- Issue proceeds for working capital requirements will be capped at 25%.
- Multiple urban local bodies will be allowed to raise funds through pooled financing via Special Purpose Vehicles.
- The framework will include escrow mechanisms and credit enhancements for pooled financing structures.
- The face value of privately placed municipal bonds may be lowered to ₹10,000 or ₹1 lakh to support retail participation.
- Provisions for Environment, Social, and Governance-linked municipal debt securities have been added.
Municipal Bond Market in India
As of 31 March 2026, 22 municipal corporations in India had raised ₹4,540 crore through 31 issuances of municipal debt securities. Public comments on the consultation paper are open until 3 June 2026.
