Discuss the meaning of the vicarious liability of a corporation.
A corporation is vicariously liable for a tortious act of its servants even though it is ultra vires provided it is done in the course of employment. Apart from vicarious liability, a corporation is directly liable for a tortious act, even if it is ultra vires its powers, if it is authorized or ratified by those who constitute the “directing mind and will of the corporation.”
